Terms of business
“Vega 360” and “Vega 360 Virtual Tours” (the Company) are brand trademarks and trading names of Zen Elements Limited, a company proudly registered in Scotland. Company number SC345593. Registered address at 15/16 Springfield, Dundee, DD1 4JE.
Our terms of business shall be governed by and interpreted in accordance with Scots Law.
Copyright
The Company exclusively owns all rights to the Materials; Photographs, Videos, 360 Virtual Tours and 3D Virtual Tours. Only the Company can assign licences for the use of Materials. As such, the Company can use all photographs for marketing purposes. No licence for any Materials is assigned either implicitly or explicitly until full payment has been received. Licences only apply to ‘final full quality’ Materials. No licences are granted on Materials provided for proofing purposes and these may not be used for any purpose other than to select the final Materials. No licence is transferrable unless explicit consent is provided by the Company.
Intellectual Property
In the event a license has been granted transferring Copyright to the Client, the Company shall always remain recognised as the creator of all Materials, and can use all Materials for marketing purposes.
Payments
Full payment of invoices is required within 14 days from the date of issue. A 30% deposit is required to secure the date of your tour, with 30% due on the date of your tour, and the final balance of 40% upon delivering a tour preview. Full payment for a tour is required before a tour is published. Overdue invoices will incur a late administration fee of £30 and will incur a £30 charge per week until full payment of any outstanding balance is settled.
Property Access
Should the Company be unable to access the property for whatever reason, the Client will be charged up to the full cost of the package booked plus any additional expenses incurred.
Property Preparation
The Client and not the Company is responsible for preparing the property for the tour and any photographs or video. The Company will take the photographs of the property as it is presented. If the Company is delayed by the Client or anyone else preparing the property during the photo shoot, the Company has the right to charge an additional fee for the extra time. Any additional visits that are required to the property will be charged at the full rate subject to a minimum charge of half day rate.
Weather
If adverse weather conditions impact a tour or photo shoot then an additional visit may be required, subject to an additional charge.
Cancellations & Rescheduling
Any cancellations or rescheduling within 72 hours of a tour or photo shoot will result in the Client being charged 100% of the fee. Requests to reschedule a tour with more than 72 hours’ notice should be done by telephone or email. If any expenses are incurred by the Company due to rescheduling, the Client is liable for those expenses.
Professional Indemnity
The Company is fully insured worldwide up to £500,000 against all expenses, damages, claims and legal costs.
Public Liability
The Company and its Photographers is fully insured worldwide up to £2,000,000 against all expenses, damages, claims and legal costs.
Hosting of Matterport Tours
The hosting of Matterport Tours is provided by Matterport. Liability for the hosting service remains with Matterport and the Company accepts no liability for the hosting. The length of hosting is as defined in the product description of the package purchased. Hosting of Matterport Tours can be included for an additional annual fee. It is the Client’s responsibility to request the provision of hosting prior to the end of the agreed period. Alternatively the Client may arrange their own Matterport account and the virtual tours may be transferred from the Company account to the Client’s account.
Children and Pets
All children and pets must be kept away from the Company and photography equipment. Any damage caused to any equipment due to children or pets will be charged to the Client. If the Company sustains any injury at a property then legal action can be taken. The Company can cancel a photo shoot on arrival at the property or at any time during the photo shoot if there are any concerns for their safety. The Client will be liable for the full cost of the tour or photo shoot as booked.
